1. Acceptance of Terms

By accessing or using the HelmIQ platform (Helmiq.io), creating an account, uploading any document, or purchasing any service (collectively, the “Service”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree, you must not access or use the Service. These Terms constitute a legally binding agreement between you and Viridis LLC (“Company,” “we,” “us,” or “our”).

We may modify these Terms at any time.

We will notify you of material changes via email or prominent notice on the Service. Your continued use after the effective date constitutes acceptance of the revised Terms.

2. Description of Service

HelmIQ provides AI-assisted contract analysis tools. The Service analyzes uploaded contracts and generates reports highlighting potential risks, key clauses, and other observations.

**IMPORTANT DISCLAIMER:** HelmIQ is **not a law firm** and does **not** provide legal advice, opinions, or counsel. All reports are generated by AI for **informational purposes only**. They may contain errors, omissions, or inaccuracies. You are solely responsible for any decisions based on reports. **Always consult a qualified, licensed attorney** before relying on any contract analysis or signing any agreement. We make no representation that any report is complete, accurate, or suitable for your specific needs.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract. By using the Service, you represent and warrant that you meet these requirements.

4. Accounts and Security

You are responsible for all activities under your account and for maintaining the confidentiality of your credentials. Notify us immediately at support@helmiq.io of any suspected unauthorized access. We are not liable for losses arising from your failure to secure your account.

5. Acceptable Use

You agree to comply with our Acceptable Use Policy (aup), which is incorporated into these Terms by reference.

6. Subscriptions, Bundles, Payments & Refunds

**Subscriptions**: Auto-renew at the then-current rate. Cancel anytime via account settings (effective at end of current period). No partial refunds for unused time.

- **Bundles & On-Demand**: One-time purchases. Credits/reviews do not expire unless stated. Non-refundable once purchased or review initiated.

- **Free Trial**: Limited to new users; subject to these Terms. We may modify or end trials at any time.

- Payments processed via Stripe. You authorize charges and are responsible for all taxes.

**Refunds**: Generally non-refundable except where required by law. Contact billing@helmiq.io within 7 days for disputes. We may offer refunds at our sole discretion

7. Intellectual Property

All technology, AI models, interfaces, and content on the Service (except your uploaded documents and generated reports) are owned by or licensed to Viridis LLC. You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription/credit validity.

You retain ownership of your uploaded contracts and the specific reports generated for you. We may use anonymized, aggregated data derived from usage for improving our models subject to our Privacy Policy.

8. User Content & Licenses

By uploading documents, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, process, and analyze them solely to provide the Service, generate reports, and improve our AI (in anonymized form).

You represent that your uploads do not infringe third-party rights and comply with applicable law.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF AI OUTPUTS. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, NOR THAT REPORTS ARE LEGALLY SOUND OR COMPLETE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VIRIDIS LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES) ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

Our total aggregate liability shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim. This limitation applies regardless of the legal theory.

11. Indemnification

You agree to indemnify, defend, and hold harmless Viridis LLC and its personnel from any claims, damages, losses, liabilities, and expenses (including attorneys’ fees) arising from: (a) your use of the Service; (b) your violation of these Terms or the Acceptable Use Policy; (c) your uploaded content; or (d) any disputes related to contracts you analyze.

12. Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict of laws principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in [Your County], Tennessee, and you hereby consent to the personal jurisdiction and venue therein.

**Arbitration:** All disputes arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted in [Nashville or your preferred city], Tennessee. You and we waive any right to a jury trial or class action. The arbitrator’s decision shall be final and binding.

Miscellaneous

These Terms, together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, and DMCA Policy, constitute the entire agreement. If any provision is invalid, the remainder remains in effect. We may assign these Terms; you may not without consent.
